User Content Submission Terms and License Agreement

By uploading or submitting any photos or other content ("User Content") to wiredwatts.com (the "Site"), you agree to the following terms and conditions:

1. License to Display User Content

You hereby grant Wired Watts, LLC, its affiliates, licensees, assigns, and service providers a non-exclusive, perpetual, royalty-free, worldwide, irrevocable, and sublicensable license to use, reproduce, distribute, publicly display, perform, modify, adapt, and otherwise exploit the User Content in connection with the Site and Wired Watts's business, in whole or in part, in any media now known or hereafter developed, including but not limited to websites, social media, print, and promotional materials, without further compensation or notification.

2. Ownership and Rights

You represent and warrant that:

• You are the sole and exclusive owner of the User Content, or you have all necessary rights, licenses, permissions, and consents to submit it and grant the rights described herein;
• The User Content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or other legal rights such as copyright or trademark, of any third party including;
• Any individuals depicted in the User Content have provided written consent to be featured, or you have obtained such consent on their behalf, including from the parent/legal guardian if the individual is a minor.

3. No Obligation to Use

Wired Watts, LLC is under no obligation to use any User Content submitted and may remove, moderate, reject, or modify such content at its sole discretion.

4. No Compensation

You acknowledge that your Submission is voluntary and that you will not receive compensation for the use of your content. However, Wired Watts may, at its discretion, recognize or highlight select submissions for promotional purposes.

5. Use of Name and Likeness

By submitting User Content, you agree that Wired Watts, LLC may use your name, likeness, username, and/or city/state of residence in connection with the User Content in any media, without additional compensation, unless prohibited by law.

6. California Residents

While Wired Watts does not specifically target California residents, if you reside in California, you may have certain rights under the California Consumer Privacy Act (CCPA). By submitting your photo, you acknowledge that the primary purpose of collecting your User Content is for promotional and editorial purposes, not for the sale of personal data. 7. Indemnification

You agree to indemnify, defend, and hold harmless Wired Watts, LLC, its affiliates, officers, directors, employees, agents, and licensors from any claims, demands, damages, liabilities, losses, costs, liability, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your User Content
• Any breach of the above representations and warranties or the use of your User Content as permitted herein.
• Any violation of applicable law or third-party rights.

8. Governing Law

This Agreement shall be governed by the laws of the State of Georgia, without regard to conflict of law principles.
